Intro

A “breach of contract” occurs when a party fails to fulfill its obligations without a valid legal excuse.

The rule

So as a rule, if SRL does not do what you paid SRL to do, that is a breach of contract.

The exception

The exception would be if there is a valid legal excuse (e.g., Client fails to pay SRL).
